Usage
All Images on the Ukandu website are protected by United States and international copyright laws and treaties. Ukandu owns all rights, including the copyrights in and to the designs and images. Ukandu reserves all rights in and to the designs and images not expressly granted to you by the terms of this license. Your rights to use any product are subject to this license agreement and are conditioned upon your payment to Ukandu for your use of the products. If you fail to make any payment to Ukandu when due, or if any check is dishonored or credit card charge refused or charged back, your account will be deemed delinquent and you will be required to pay for downloaded products provided. If payment is not received, your right to use any products downloaded at any time shall automatically terminate unless all payments together with any interest thereon and Ukandu's costs of collection, bank charges and credit card processing fees are received by Ukandu no later than fifteen (15) days from the date that placed the order.

Ukandu grants you a personal, non-exclusive, non-transferable, right to use and reproduce, copy, and modify these products to create resale items and marketing materials. You may not share, loan, rent, resell, distribute, or transfer these Ukandu products to another individual for the same purpose.

You may not resell, redistribute or transfer any product except as specifically provided herein. Displaying any product in any digital format or for any digital use at a resolution greater than 800 x 600 pixels, except in preliminary design work, will be deemed to be an attempt to redistribute the Image and could result in the termination of your rights under this agreement.

You may not share a product by providing access to such product on shared disk drives, computer networks, intranets of any nature or otherwise. "Non-transferable" as used herein means that except as specifically provided in these TOS, you may not sell, rent, load, give, sublicense, or otherwise transfer to anyone, the product or the right to use the product. You agree to take all commercially responsible steps to prevent third parties from duplicating any product.

You may not use Ukandu products in a manner that competes with Ukandu's business. This includes, by way of illustration only and not by way of limitation, displaying products in any format (including thumbnails) for download on a website, offering Ukandu products for sale, or including Ukandu products in templates of any nature, including templates for websites, social networking websites (e.g., MySpace.com, Facebook, etc.) documents, projects or otherwise for distribution and/or sale to third parties.

Ukandu's templates are built with Grouped Layers which are currently not supported by Photoshop Elements. By agreeing to the Terms and Conditions of this site you recognize that templates purchased on Ukandu are not compatible with all versions of Photoshop Elements. All design files are compatible with Photoshop CS and newer versions. The majority of business forms are either compatible with Word or Excel.

Credit Cards
We accept the following credit cards: Visa, MasterCard,  American Express and Discover. There is no surcharge for using your credit card to make purchases. Please be sure to provide your exact billing address and telephone number (i.e. the address and phone number your credit card bank has on file for you). Incorrect information will cause a delay in processing your order. Your credit card will be billed upon shipment of your order.

Order Acceptance Policy
Your receipt of an electronic or other form of order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. Ukandu reserves the right at any time after receipt of your order to accept or decline your order for any reason or to supply less than the quantity you ordered of any item.

Shipping Times
Most orders received before 5:00 PM MST will ship within 48 hours, provided the product ordered is in  stock.  Orders are not processed or shipped on Saturday or Sunday, except by prior arrangement.

We cannot guarantee when an order will arrive. Consider any shipping or transit time offered  as an estimate only. We encourage you to order in a timely fashion to avoid delays caused by shipping or product availability.

Multiple Product Order
For a multiple product order, we will make every attempt to ship all products contained in the order at the same time. Products that are unavailable at the time of shipping will be shipped as they become available, unless you inform us otherwise. You will only be charged for products contained in a given shipment, plus any applicable shipping charges. You will only be charged for shipping at the rate quoted to you on your purchase receipt. The entirety of this shipping charge may be applied to the first product(s) shipped on a multiple shipment order.

SPU Membership Times
Most orders received before 5:00 PM MST will be processed within 48 hours, with the login information and password arriving in a separate email from Membership.  Memberships are not processed or shipped on Saturday or Sunday, except by prior arrangement.

Taxes
Ukandu shall automatically charge and withhold the applicable sales tax for orders to be delivered to addresses within the same state. For orders shipped to other states, you are solely responsible for all sales taxes or other taxes.

Refunds/Replacments/Cancellations
Digital Products:  Ukandu shall be under no obligation to refund your purchase under any circumstances. Purchases for digital products cannot be refunded due to the nature of the product - once it has been delivered we are unable to accept a return. However, in the event that Ukandu determines that you are entitled to a refund of all or part of your purchase, such refund shall only be made to the credit card account originally used for purchase.

Live Event Tickets:  Tickets for tours, workshops, webcasts and and any other live event cannot be refunded less than 15 days before the event. All requests must be made in writing via the Contact Us page on the www.ukandu.com site and a $10 cancellation fee will be deducted from your refund. If you are unable to cancel 15 days or more in advance, you may send someone else in your place

SPU Memberships/Automatic Renewals: All SPU memberships are automatic renewals and will be charged to the card used to make the initial membership purchase. You must cancel your membership more than five days before the beginning of your new membership. All requests must be made in writing via the Contact Us page on the www.ukandu.com site.  Requests to cancel less than ten days before the end of your current membership will be put into place for the end of the new term and no refund of the renewed membership will be issued.

• Example: Your current three membership ends on September 30th. You must contact us no later than September 20th for your membership to not renew automatically on October 1st.  If you contact us after that date, we will set your membership to cancel December 31st.

There are no refunds for longer term subscriptions at any time, nor pro-rated refunds for months not used. If you purchase additional months, you will not be refunded for whatever current month you  have already been charged, but charged for the year-long membership on the first day of the following month when they made the request. SPU reserves the right to adjust and set renewal dates if necessary. Members who switch to a different membership term shall automatically renew at their newest term length and price.

• Example: You have a month-to-month membership for $25.00 per month. You purchase a three month membership for $75.00. At the end of your three month membership, you will automatically renew for another three months at $75.00.
  

Bundled Offers: A cancellation/refund request for any portion of any special offer that includes any version of buy-one-get-one-free or any bundling of any type, will result in full price being charged for the item that was presented as free for the purposes of that special offer.  Cancellation/refund requests voids the terms of the special offer. Examples of bundled offers: 

• Offer - Three months of SPU for $74 and receive a $99 download for free.  If you cancel the SPU membership before the three months is up, your original card will be charged  the balance of the $99 for the download and no refund made for the SPU membership. 
  
• Offer - Purchase a ticket to a live event for $249 and receive a complimentary download of the Big Book of Management. If you cancel your ticket to the live event your card on file would be charged the current Ukandu price for the Big Book of Management download.

Damage/Liability
You agree to indemnify and hold Ukandu, its officers, employees, shareholders, directors, managers, members and suppliers, harmless against any damages or liability of any kind arising from any use of the product other than the uses expressly permitted by this Agreement. You further agree to indemnify Ukandu for all costs and expenses that Ukandu incurs in the event that you breach any of the terms of this or any other agreement with Ukandu.

Product Replacement
All download links expire within 14 days of purchase. If during that 14 day period your program will not download correctly, your product can be reactivated. After 14 days, Ukandu will not reissue your download link.

It is the sole responsibility of purchaser to download purchased files in a timely manner and then to backup all downloaded files. Ukandu will not replace products due to computer crashes, however, if the product is still available Ukandu will offer a 50% off discount for a reorder of the identical product as long as the purchaser can provide original receipt of purchase.

Typographical Errors
In the event a product is listed at an incorrect price due to typographical error or error in pricing information received from our suppliers, Ukandu shall have the right to refuse or cancel any orders placed for product listed at the incorrect price. Ukandu shall have the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, Ukandu shall immediately issue a credit to your credit card account in the amount of the incorrect price

Copyright Policy
All copyrights to all original files, elements, graphics, and kits are retained by the Ukandu with all rights reserved. No copyrights are inferred or transferred to buyer or any party buyer may sell to.

Unauthorized Use
It is illegal to reproduce or distribute copyrighted material without the permission of the copyright owner.

Privacy
We keep your personal information private and secure. When you make a purchase from our site, you provide your name, email address, credit card information, address, phone number, and a password. We use this information to process your orders, to keep you updated on your orders and to personalize your shopping experience.

Our secure servers protect your information using advanced encryption techniques and firewall technology.

To keep you informed about our latest offers, we may notify you of current promotions, specials and new additions to the Sample Store site. You may unsubscribe from our newsletters by following the unsubscribe instructions in any email you receive from us.

When entering any of our contests or prize drawings, you provide your name, email address and mailing address. If you win, we will send the prize to the address entered and notify you by email. When you enter a contest or drawing you are also included in our newsletter list to receive notice of promotions, specials and new additions to the Sample Store site. You may unsubscribe from this news list by following the unsubscribe instructions in any email received.

We use "cookies" to keep track of your current shopping session to personalize your experience and so that you may retrieve your shopping cart at any time.

Privacy on Other Websites
Other sites accessible through our site have their own privacy policies and data collection practices. Please consult each site's privacy policy. Ukandu is not responsible for the actions of third parties.

Other Conditions
These Conditions will supersede any terms and/or conditions you include with any purchase order, regardless of whether Ukandu signs them or not. We reserve the right to make changes to this site and these Conditions at any time without notification to customers.
